Associate General Counsel
This is a great opportunity to join a busy legal team in a dynamic health care information technology company. We are looking for an ambitious and experienced attorney to provide legal advice and counsel on corporate securities, governance, SEC reporting and other corporate matters. The Associate General Counsel will report to the General Counsel at our headquarters in Watertown, MA.
Responsibilities
- Coordinate the preparation SEC filings (including Forms 10-K, 10-Q, 8-K, and proxy statement) working with management and outside counsel, as needed
- Assist in advising the Board of Directors and senior leadership team on all securities law, corporate governance and general corporate law matters
- Be primarily responsible for preparation for Board of Directors and related committee meetings and annual stockholders’ meetings
- Review earnings materials, public announcements, and presentations
- Be primarily responsible for developing, implementing and maintaining policies and procedures to ensure corporate compliance with both existing and new requirements enacted by the SEC and Nasdaq
- Assist with drafting minutes of Board of Directors and related committee meetings
- Oversee international subsidiaries legal work and staff
- Support legal tax work
- Support transactional work, as needed (e.g., M&A and strategic investments)
- Advise on a wide range of corporate matters and support a variety of departments, including finance, investor relations and marketing.
Qualifications
- J.D. from a well-recognized law school and excellent academic credentials
- 8-12 years of legal experience at a law firm or corporation in the areas of securities laws, SEC reporting requirements and corporate governance
- Strong drafting and negotiation skills
- Ability to manage and drive projects cross-functionally across departments
- Experience managing other attorneys
- Superior verbal, written, and communication skills
- Willingness to spend the time necessary to meet demanding deadlines and adjust to shifting priorities
- Ability to think creatively and strategically
