About the Role

OpenLoop is looking for a Senior Corporate Counsel to join our team remotely or at HQ in Des Moines, IA. In this role, you will be responsible for providing strategic, business-minded legal guidance across a range of complex initiatives, from M&A and post-deal integration to subsidiary governance, fundraising diligence, and capital structure management.

This is a highly visible, hands-on role for a seasoned attorney who thrives in a fast-paced environment, can operate independently with minimal oversight, and knows how to translate legal risk into actionable business solutions.

 

What You'll Do

  • Lead and manage corporate transactions including M&A (from LOI through post-closing), reorganizations, and capital markets activities.
  • Oversee post-deal activities such as governance updates, intercompany cost-sharing agreements, entity clean-up projects, and payoff or reconciliation of outstanding obligations.
  • Own subsidiary governance — maintain organizational documents, resolutions, and filings; ensure compliance across all entities.
  • Run diligence for fundraising efforts, including managing data rooms, pulling and reviewing cap tables, and coordinating entity formation for new ventures or investment structures.
  • Manage outside counsel for M&A, securities, and other corporate matters — ensuring efficient, high-quality execution and alignment with internal priorities.
  • Collaborate cross-functionally with Finance, Accounting, Product, and Compliance teams to align legal strategy with operational and financial goals.
  • Partner with Product and Technology teams to integrate legal considerations into new initiatives and systems, ensuring proper governance and documentation.
  • Identify and resolve post-deal and process issues, including gaps between legal, technical, and business teams.
  • Provide strategic, pragmatic advice to senior leadership on corporate structure, risk management, and operational efficiency.
  • Serve as a legal utility player, supporting a wide range of strategic projects across the organization without the need for extensive oversight.
  • Other duties as assigned.

Who You Are

  • Juris Doctor (JD) from an ABA-accredited law school; active license to practice in at least one U.S. jurisdiction.
  • 8+ years of progressive corporate and M&A experience at a top-tier law firm and/or in-house, leading deal transactions end-to-end.
  • Deep understanding of M&A structures, due diligence, entity formation, and post-acquisition integration.
  • Experience managing subsidiary governance, cost-sharing agreements, and corporate reorganizations.
  • Proven ability to manage outside counsel and oversee complex, cross-functional legal processes.
  • Skilled at fundraising diligence, including organizing data rooms and managing capital tables.
  • Strong business acumen with the ability to provide clear, actionable legal advice in ambiguous or fast-changing environments.
  • Highly organized and detail-oriented, with strong project management capabilities.
  • Comfortable managing multiple complex initiatives independently — no hand-holding required.
  • Excellent communicator who can partner effectively across functions, from executives to technical teams.
  • Experience in healthcare, technology, or other highly regulated industries preferred.
