The Senior Contracts and Negotiation Attorney will  provide contracts administration and management support in the following key focus areas: negotiating with prospective customers, partners and vendors; drafting and administering contract amendments, change orders, and statements of work; interfacing with internal stakeholders  on contractual matters; managing flow-down of contractual requirements to performing organizations. 

Responsibilities: 

• Draft, review and redline contracts (including Master Agreements, Statements of Work and NDAs); 
• Negotiate technology contract terms directly with current and prospective customers; 
• Coordinate input from sales, solution engineering, security, and legal teams;
• Manage exchange of documents and maintain document integrity through the entire lifecycle of negotiations through closing;
• Ensure contracts are properly executed, and handle storage, organization and updates thereafter;
• Own process improvement projects including implementation of a contract management system;
• Develop and maintain guidance materials and best practices documents across legal topics; 
• Participate in the development of written questions to seek clarification from procurement officials throughout the procurement process;
• Participate in quality assurance/compliance review to ensure proposal response adheres to customer requirements;
• Work on multiple responses balancing milestones and due dates of each;
• Draft & handle employment contracts;

Skills, Education, Experience Requirements:

• Four year college degree and at least five years of professional experience at a corporation or law firm supporting commercial technology transactions;
• Ability to structure and draft agreements, redline, exchange drafts, and interface with third parties;
• Ability to interpret contract terms and identify risk, effectively explain implications to business team and offer practical mitigation strategies.
• Collaborative mentality that encourages principled discussions between parties, and stewards agreements to closure; 
• Strong word processing skills with proficiency in Google Docs and Microsoft Office Suite;
• Outstanding oral and written communication skills;
• Strong work ethic, organizational skills, and attention to detail; 
• Team player that demonstrates sound judgment and integrity;
• Ability to deliver high-quality work product under tight deadlines;
• Eager to learn and take ownership of diverse initiatives; 
• Ability to prioritize assignments while managing multiple tasks.
