Counsel
The Opportunity
As a member of MassMutual's Law Department, you will be responsible for providing legal advice and counsel supporting the needs of MassMutual's various business and corporate units. You will be an integral part of MassMutual's corporate law team, which supports corporate units, including the finance, corporate development, procurement, information technology and investment management areas. As Counsel, you will be primarily supporting MassMutual's business units and Procurement Department with respect to commercial contracting and intellectual property matters.
The Team
As Counsel, you will develop substantive relationships with multiple business areas and collaborate with other members of the Law Department on regulatory, intellectual property, commercial, compliance, data privacy issues and M&A activities that arise relating to commercial contracts. You will promote an environment that fosters and supports diversity and inclusion, values pro bono opportunities and reflects MassMutual's mission and goals.
The Impact:
Your responsibilities in this role will include, but are not limited to the following:
- Draft, review and negotiate procurement contracts and advise Procurement as to appropriate commercial contracts related policies and procedures.
- Provide legal support and business advice to internal clients and Procurement during the lifecycle of a commercial contract.
- Assist the Procurement area in developing and updating contract templates, guidelines and training materials.
- Provide training to the Procurement area and other functions of MassMutual as needed.
- Provide general advice on copyright and trademark issues and prepare and deliver intellectual property training programs for internal clients.
- Proactively research and report on changes in relevant laws, regulations and industry standards and track emerging trends.
- Provide sound, pragmatic legal advice and innovative/creative solutions on a wide range of legal matters in a manner that facilitates delivery of business results.
The Minimum Qualifications
- JD degree from an accredited U.S. law school.
- Must have a minimum of 4 years of experience with a respected law firm(s), government and/or corporate law department (or similar experience) advising on commercial contracts.
- Must have commercial contracting experience, preferably with software and SaaS licensing agreements and/or business process offshore agreements.
- Admitted to a state bar; must be admitted to Massachusetts bar or registered as in-house counsel within 6 months of start date.
- Demonstrated strong planning, organizational, analytical, and written and oral communications skills.

- Experience and comfort dealing with all levels of business partners.
- Excellent judgment and legal and business acumen; ability to think like a businessperson, to integrate legal and business issues and to partner with business leaders.
- Strong ability to develop professional relationships with clients, legal colleagues and business leaders across the organization.
- Commercially minded, but with a keen attention to risk and ethics
- Demonstrated leadership, integrity, professionalism and collegiality

- Excellent oral and written communication skills
- Team oriented; works well with others and is someone who fosters and encourages teamwork across organizations and functions
