Securities and Regulatory Corporate Counsel
In this newly created role, we are looking for a Corporate Attorney with combined contracts negotiation and SEC experience. This is an opportunity for a corporate attorney with experience drafting and negotiating Professional Services and Consulting Agreements, Licensing transactions and SEC compliance, to continue to learn and grow with our company. This role reports to the General Counsel & Chief Legal Officer.

Responsibilities
- Partner closely with Marketing, Finance, R&D and Product development, generating high quality contracts and delivering practical business minded advice.
- Managing general corporate governance matters for the Corporation, including state and federal filings; supporting public company matters, including annual shareholder meeting, preparing quarterly and annual reports
- Assist in the preparation, coordinate legal input and provide legal support, for current and periodic reports to the SEC, including Forms 10-K and Forms 10-Q.
- Working with regulators and lawmakers to support regulatory and legislative policy initiatives related to market structure, trading, capital formation and investor protection issues
- Broad guidance on a broad range of issues, including public company compliance matters.
- Excellent organizations, written and verbal communication skills. Highly responsive with a service-oriented attitude.
- Assist with shareholder engagement matters and perform research relating to various corporate governance issues and annual shareholder meeting.
- Help maintain accurate corporate records and documentation.
About You
- BA/BS and JD; Member of Mass Bar.
- 3-5+ years of direct experience with drafting, contract negotiation and with public company compliance matters, while working in a law firm or in-house at a publicly-traded company.
- Sense of urgency and follow through to meet deadlines.
- Great judgment even in ambiguous situations on technology and SEC transactions.
