Toast’s People Team is growing!  Working closely with leadership, the Executive Compensation Manager will collaborate on the overall design, administration, implementation, and communication of executive and equity compensation programs.  The attraction and retention of outstanding executive talent is critically important to Toast’s growth and equity compensation is a dominant feature of our total rewards offering, making the individual in this role a pivotal contributor to our success. 

About this roll* (Responsibilities)   

  • Collaborate with leadership, the Board and external consultants to shape Toast’s executive compensation strategy and program design, including base compensation, short- and long-term incentives and other executive programs.
  • Drive the process for the timely development and preparation of all materials for the Compensation Committee of the Board of Directors, in conjunction with the VP Total Rewards, the Chief People Officer, the CEO and the Legal and Finance teams.
  • Collaborate with the Total Rewards team and leadership to design equity compensation programs in support of Toast’s total rewards strategy.  Develop equity guidelines and provide consultation on equity eligibility and program matters.  Develop effective equity program communications and work cross-functionally to ensure managers and employees understand Toast’s equity programs.
  • Partner with Stock Administration and Legal on the effective deployment of all equity awards and program changes for employee participants and non-employee Directors.  Ensure equity plan matters approved by the Compensation Committee, including approved equity awards and award amendments, are communicated to Stock Administration in a timely manner.  
  • Conduct analyses on equity burn rate, dilution and projections of equity usage.  Collaborate cross-functionally to develop share pool requests and stock plan documentation.
  • Manage the operational aspects of executive and Board compensation including program implementation, policy development, establishment of secure processes and communication development.  Ensure all executive compensation and Board compensation decisions, cycles and changes are implemented accurately and completely.
  • Serve as a subject matter expert on executive and equity compensation market dynamics and industry trends.  Leverage external networks and professional associations to remain current on innovative programs and best practices.  Monitor peer company executive compensation and equity practices.  Provide recommendations on opportunities Toast should consider in the evolution of its executive and equity compensation programs.
  • Understand the executive compensation requirements of key stakeholders including the Board, large investors, ISS and Glass Lewis.  Collaborate with leadership to determine how Toast will address those requirements in its executive compensation programs and disclosures.
  • Collaborate with the Legal and Finance teams to prepare executive compensation disclosures and information for SEC filings. 
  • Serve as the point of contact for executive compensation information for audit purposes.
  • Work closely with external executive compensation consulting firms to define consultative work to be performed, provide needed information, establish deadlines and review delivered work.
  • Conduct competitive benchmarking and survey analysis to evaluate executive pay levels and programs for internal equity and external competitiveness.  
  • Consult with leadership on compensation matters involving complex executive hires, promotions, terminations, and special arrangements related to compensation.
  • Participate on acquisition due diligence and integration teams as a subject matter expert on executive compensation.
  • Participate in other compensation and total rewards projects, as needed.

Do you have the right ingredients*? (Requirements)

  • At least seven years of compensation experience with at least five years experience involving executive compensation administration at a publicly traded company, or at a compensation consulting firm specializing in executive compensation.
  • Demonstrated ability to conduct in-depth analyses, identify findings, and effectively communicate data and findings, both verbally and in presentation form.
  • Demonstrated ability to team cross-functionally to deliver collaborative and successful outcomes on complex issues. 
  • The ability to develop project plans and manage execution across a variety of teams, both internal and external.
  • A complete understanding of the regulatory, compliance and administrative rigor required for the successful operation of executive and equity compensation programs.
  • Outstanding written communication skills including the ability to create effective presentations, develop program communications and training materials.
  • The ability to clearly present information to a wide variety of audiences including employees, managers and leadership.  
  • Action-orientation with the ability to multitask, deal with ambiguity and adapt to change in time-sensitive situations.
  • Requires a bachelor’s degree; advanced degree in a related field a plus.
  • Certified Compensation Professional (CCP) and/or Certified Executive Compensation Professional (CECP) preferred.
