PART-TIME GENERAL COUNSEL

About the Job

iZotope, Inc. is seeking a dynamic, experienced, and highly self-motivated business-minded attorney to join our team, reporting directly to the CFO. The General Counsel is directly responsible for managing all corporate legal matters and initiatives, including contracts (customer and vendor); intellectual property (applications, maintenance filings, and infringement claims); securities and governance; complex negotiations; and employment law. This part-time role is expected to require 20-25 hours per week with flexible hours.

Job Responsibilities

• Serves as legal lead for contract drafting and negotiation--including sales, licensing, vendor and other agreements–as well as document management for the company
• Supports internal functions, such as HR, sales, marketing, engineering and product, with all day-to-day legal matters and works closely with the company’s finance team on audit and contract-related items
• Partners with HR on compliance, policies and procedures, employment and separation agreements, stock option plan matters, and employment claims and disputes
• Evaluates, together with engineering and product teams, new technology patentability and maintains a close relationship with outside counsel in managing the company’s IP portfolio
• Ensures good corporate governance, in partnership with outside corporate counsel, and coordinates any corporate and capital matters, including investor/stock issues and bank/debt-related transactions
• Provides legal and compliance support with regard to international offices and related expansion
• Advises the board of directors and management on corporate governance matters and serves as the management point person for governance committee meetings and materials including the drafting of minutes
• Manages property & casualty insurance matters and relationship with the company’s broker
• Stays current with respect to applicable laws, rules and regulations that may potentially impact the business and leads the implementation of any newly mandated standards or practices
• Manages any litigation or disputes
• Manages all outside counsel resources and optimizes the outsourcing of legal matters
• Performs other duties, as assigned, commensurate with the level and scope of the position.

Qualifications

• Juris Doctorate degree from an accredited law school
• Member in good standing of the Massachusetts Bar
• Minimum of 5-7 years of related experience as a corporate generalist, ideally within a firm or company with international operations
• Solid experience in commercial contracts supporting active business development and global sales initiatives
• Substantial understanding of intellectual property, software licensing, and commercial laws and regulations
• Entrepreneurial mindset with ability to manage autonomously all aspects of the company’s legal function but also to use good judgment and escalate issues when appropriate
• Excellent interpersonal and oral and written communication skills necessary for collaborative interactions with internal and external stakeholders at varying levels
• Exceptional planning and organizational skills, including ability to manage multiple projects and competing priorities comfortably, with meticulous attention to detail
